       二、轉(zhuǎn)讓標(biāo)的簡(jiǎn)況：2艘78米平臺(tái)輔助船均為新造船舶（未發(fā)船級(jí)社證書），分別于2013年10月23日和2014年3月10日在廈門船舶重工股份有限公司開工建造，2015年建造完工。
       Brief introduction of transfer targets: Both of the two 78m platform auxiliary vessels are newly built (without classification society certificate) . They were built in Xiamen Shipbuilding Industry Co., Ltd. since October 23rd, 2013 and March 10th, 2014 respectively, and completed in 2015.

       轉(zhuǎn)讓標(biāo)的由新加坡的FOCAL設(shè)計(jì)，總長(zhǎng)78米、型寬18.6米、總噸3584、凈噸1075，居住人數(shù)60人，船舶種類為平臺(tái)輔助船，入級(jí)BV船級(jí)，掛旗國(guó)為馬紹爾群島。轉(zhuǎn)讓標(biāo)的為全焊透的鋼制船，帶有兩個(gè)主機(jī)（主機(jī)功率2206KW X 800r/min），兩個(gè)可調(diào)螺旋槳，兩個(gè)艏側(cè)推(940KW),三臺(tái)發(fā)電機(jī)（550KW），兩臺(tái)軸帶發(fā)電價(jià)（1100KW），兩個(gè)駕控臺(tái)，DP-2定位能力，甲板面積800m2，飲用水600m3、鉆井水/艙底水1250m3、燃油（包括貨燃油）1200m3、泥漿艙800m3、干散貨300m3、回收油1000m3、基油/甲醇200m3、冷庫14m3、凍庫15m3；本船具有海上補(bǔ)給、救援、對(duì)外消防等功能。
       The transfer targets are designed by FOCAL of Singapore, with a total length of 78 m, a width of 18.6m, a total tonnage of 3584, a net tonnage of 1075, and accommodation of 60 people. The vessels are platform auxiliary vessels, classified as BV class, and the flag country is Marshall Islands. The transfer targets are full penetration welding steel vessels which respectively have two main engines (main engine power 2206KW * 800r/min) , two adjustable propellers, two bow side propellers (940KW) , three generators (550KW) , two shaft generators (1100KW) , two control consoles, DP-2 positioning capacity, deck area 800m2, drinking water 600m3, drilling water/bilge water 1250m3, fuel oil (Including cargo fuel) 1200 m3, slurry tank 800 m3, dry bulk cargo 300 m3, recovery oil 1000 m3, base oil/methanol 200 m3, cold storage 14 m3 and freezer 15 m3. The vessels have the functions of marine supply, rescue, external fire fighting, etc.

       競(jìng)買人須自行前往標(biāo)的所在地進(jìn)行看樣與驗(yàn)船，轉(zhuǎn)讓標(biāo)的具體狀況和品質(zhì)（包括但不限于:轉(zhuǎn)讓標(biāo)的的外觀、結(jié)構(gòu)、固定裝飾、裝修及內(nèi)在質(zhì)量等）以現(xiàn)場(chǎng)看樣為準(zhǔn)，競(jìng)買人應(yīng)對(duì)轉(zhuǎn)讓標(biāo)的進(jìn)行現(xiàn)場(chǎng)勘察核實(shí)，競(jìng)買人自行對(duì)競(jìng)買人現(xiàn)場(chǎng)勘察核實(shí)后至標(biāo)的交付時(shí)轉(zhuǎn)讓標(biāo)的具體狀況和品質(zhì)（包括但不限于:轉(zhuǎn)讓標(biāo)的的外觀、結(jié)構(gòu)、固定裝飾、裝修及內(nèi)在質(zhì)量等）發(fā)生的任何變化承擔(dān)瑕疵擔(dān)保責(zé)任。若競(jìng)買人繳納競(jìng)價(jià)保證金并遞交報(bào)名申請(qǐng)文件，即視為該競(jìng)買人對(duì)轉(zhuǎn)讓標(biāo)的的現(xiàn)狀及存在的瑕疵完全認(rèn)可且無異議。若在看樣期至轉(zhuǎn)讓標(biāo)的交付日期間現(xiàn)場(chǎng)發(fā)生變化，最終解釋權(quán)歸轉(zhuǎn)讓方所有，組織方不對(duì)現(xiàn)場(chǎng)狀況進(jìn)行保證及現(xiàn)場(chǎng)狀況變化解釋，亦不承擔(dān)任何責(zé)任。
       The transfer targets are transferred and delivered in accordance with the present situation. The bidder shall go to the place where the targets are located for viewing samples and vessel inspection. The specific conditions and qualities of the transferred targets (including but not limited to: the appearance, structure, fixed ornaments, decoration and internal qualities of the transferred target) shall be based on viewing sample on site. The bidder shall conduct on-site survey and verification of the transferred targets. The bidder shall bear the liability of defect guarantee for any change in the specific condition and quality of the transferred targets (including, but not limited to, the appearance, structure, fixed ornaments, decoration and internal quality of the transferred targets) at the period after the bidder's on-site survey and verification to the delivery of the targets. If the bidder has paid the bidding deposit and submitted the registration application document, it is deemed that the bidder fully recognizes and has no objection to the status and defects of the transfer targets. If the site changes in the period from viewing the samples to the delivery date of the targets, the final interpretation right belongs to the transferor, and the organizer neither undertake any responsibility for guaranteeing the scene situation nor any responsibility for interpreting scene change.

      三、轉(zhuǎn)讓價(jià)格的確定原則：本項(xiàng)目競(jìng)價(jià)方式為設(shè)有保留價(jià)的網(wǎng)絡(luò)競(jìng)價(jià)（一次報(bào)價(jià)）方式，不到保留價(jià)不成交，最終轉(zhuǎn)讓價(jià)格按照競(jìng)價(jià)文件的相關(guān)規(guī)定確定。
      Principle for determining transfer price: the bidding mode of the project is online bidding (one-time bidding) with reserved price, there will be no deal if the bid price is lower than the reserved price, and the final transfer price is determined in accordance with the relevant provisions of the Bidding Document.

      在本項(xiàng)目競(jìng)價(jià)過程中，轉(zhuǎn)讓方所設(shè)置的保留價(jià)至始至終僅為轉(zhuǎn)讓方知悉，在任何情況下均不向組織方、競(jìng)買人透露、公布；競(jìng)買人在網(wǎng)絡(luò)競(jìng)價(jià)過程中所報(bào)價(jià)的金額是否高于保留價(jià)由轉(zhuǎn)讓方自行確認(rèn)，組織方對(duì)此不負(fù)任何責(zé)任。
      Reserved price shall be just known by the transferor and won’t be revealed to the organizer and the bidders during the bidding procedure under any conditions. Whether the bidding price is higher than the reserved price or not will be confirmed by the transferor. The organizer will not be responsible for it.

      四、受讓方資格條件： 

      Qualification conditions of transferee:

      1、依照中華人民共和國(guó)相關(guān)法律規(guī)定，具有或經(jīng)法定程序認(rèn)證、公證后可認(rèn)定為具有完全的民事行為能力、權(quán)利能力、能獨(dú)立承擔(dān)民事義務(wù)與責(zé)任且愿意嚴(yán)格按照本項(xiàng)目競(jìng)價(jià)文件所涉標(biāo)的的轉(zhuǎn)讓合同相關(guān)約定履行轉(zhuǎn)讓合同義務(wù)的中華人民共和國(guó)境內(nèi)及境外的企業(yè)、其他組織機(jī)構(gòu)、政府機(jī)構(gòu)、自然人等；
      Domestic enterprises, organizations, government agencies and natural persons etc. of the People's Republic of China, or foreign enterprises, organizations, government agencies and natural persons etc. out of the People's Republic of China which have been in complete capacity for civil conduct, capacity for rights, ability to undertaking civil obligations and liabilities independently and are willing to perform the obligations of MEMORANDUM OF AGREEMENT or will meet such conditions after being certified and notarized by legal procedures, according to the laws of the People's Republic of China.

      2、已經(jīng)或?qū)矸洗霸诰惩獾怯涀?cè)的登記注冊(cè)地主體資格要求；

      Has met or will meet the qualification requirements of the main body of the registered place where ships are registered abroad.

      3、未被列入中國(guó)執(zhí)行信息公開網(wǎng)（http://zxgk.court.gov.cn/）的失信被執(zhí)行名單；
     The transferee’s name wasn’t recorded in the List of Dishonest Persons Subject to Enforcement of “China's Enforcement Information Disclosure Website”（http://zxgk.court.gov.cn/）.

      4、資金來源合法。
      Legitimate sources of funds.

      五、受讓方須接受的主要交易條件：
      Main terms and conditions of the transaction to be accepted by the transferee:

      1、競(jìng)買人被確定為受讓方后，須在5個(gè)工作日內(nèi)與轉(zhuǎn)讓方簽署船舶買賣協(xié)議；轉(zhuǎn)受讓雙方簽署的船舶交易合同生效后90天（自然日）內(nèi)，受讓方必須付清全部轉(zhuǎn)讓價(jià)款并走船。
      After being determined as the transferee, the bidder must sign the Vessel Sales Agreement with the transferor within five working days. Within 90 natural days after the vessel MEMORANDUM OF AGREEMENT signed by the transferee and the transferee comes into force, the transferee must pay all the transfer price and take the vessels away.

      2、受讓方受讓轉(zhuǎn)讓標(biāo)的后，必須在中國(guó)大陸境外辦理轉(zhuǎn)讓標(biāo)的的登記注冊(cè)；
     After transferring the transfer target, the transferee must register the transferred target outside the mainland of China.

      3、付款方式：分兩期支付，第一期價(jià)款為成交總金額的30%，受讓方須在轉(zhuǎn)受讓雙方交易合同簽署后3 個(gè)銀行工作日內(nèi)支付,受讓方支付上述第一期價(jià)款后，船舶買賣合同生效；第二期價(jià)款為成交總金額的70%，受讓方須在轉(zhuǎn)讓標(biāo)的交付日前支付，且該筆價(jià)款支付應(yīng)在第一期價(jià)款支付之后 90天（自然日）內(nèi)完成。
     Payment method: payment in two installments, the first installment is 30% of the total amount of the transaction, the transferee must pay within three banking days after the sales contract is signed between the transferor and the transferee; the second installment is 70% of the total amount of the transaction, the transferee must pay before the delivery of the transfer target, and the payment shall be completed within 90 natural days after the first payment.

      5、轉(zhuǎn)讓標(biāo)的原船東（轉(zhuǎn)讓標(biāo)的原建造合同買方）及中國(guó)信用保險(xiǎn)出口公司廈門分公司等兩家公司對(duì)轉(zhuǎn)讓標(biāo)的享有優(yōu)先受讓權(quán)。轉(zhuǎn)讓價(jià)格確定后，轉(zhuǎn)讓方將按照本項(xiàng)目競(jìng)價(jià)文件規(guī)定通知上述優(yōu)先權(quán)人行使優(yōu)先受讓權(quán)，若優(yōu)先權(quán)人行使優(yōu)先受讓權(quán)，則該優(yōu)先權(quán)人被確定為最終受讓方，若優(yōu)先權(quán)人放棄優(yōu)先受讓權(quán)，則按照本項(xiàng)目競(jìng)價(jià)文件規(guī)定確定最終受讓方。
      The original shipowner (the buyer of the original construction contract of the transferred targets) and Xiamen Branch of China Export & Credit Insurance Corporation enjoy priority in the right of transfer of the transfer targets. After determining the transfer price, the transferor will notify the above-mentioned priority holders to exercise the priority in the right of transfer in accordance with the provisions of the Bidding Document of the project. If the priority holders exercise the priority in the right of transfer, the priority holders will be determined as the final transferee. If the priority holders waive up the priority in the right of transfer, the final transferee will be determined in accordance with the provisions of the Bidding Document of the project.

      5、其他須受讓方接受的交易條件詳見船舶買賣協(xié)議。
      Other terms and conditions of the transaction to be accepted by the transferee are detailed in the vessel MEMORANDUM OF AGREEMENT.

      六、競(jìng)價(jià)保證金：美元（USD): 1,000,000.00 ；或人民幣（RMB）：7,000,000.00。競(jìng)價(jià)保證金繳納賬戶詳見本項(xiàng)目競(jìng)價(jià)文件相關(guān)規(guī)定。
      Bidding deposit: US dollars（USD): 1,000,000.00 ; or Renminbi（RMB）：7,000,000.00. The account for bidding deposit is detailed in the relevant provisions of the Bidding Document for the project.

      七、競(jìng)價(jià)方式：網(wǎng)絡(luò)競(jìng)價(jià)（一次報(bào)價(jià)）。
      Bidding method: Online bidding (one-time bidding).

      本項(xiàng)目通過公眾交易平臺(tái)“金馬甲”公司網(wǎng)站（www.jinmajia.com）進(jìn)行網(wǎng)絡(luò)公開競(jìng)價(jià)，競(jìng)買人須自行了解競(jìng)買人所在地區(qū)網(wǎng)絡(luò)訪問權(quán)限，若競(jìng)買人所在地區(qū)對(duì)“金馬甲”公司網(wǎng)站（www.jinmajia.com）訪問有限制，導(dǎo)致競(jìng)買人不能申請(qǐng)網(wǎng)絡(luò)競(jìng)價(jià)賬戶及實(shí)施網(wǎng)絡(luò)競(jìng)價(jià)行為，競(jìng)買人須自行解決并承擔(dān)相關(guān)風(fēng)險(xiǎn)。
      The project carries on the network open bidding through the public trading platform "Jinmajia" company's website (www.jinmajia.com). The bidder has to know the network access rule of the bidder's local area by itself. If the bidder's area has limited access to the "Jinmajia" company's website (www.jinmajia.com), the inconvenience for online bidding application and bidding brought to the bidder shall be solved by the bidder itself, and the bidder shall bear the relevant risks by itself.

      “金馬甲”公司網(wǎng)站（www.jinmajia.com）的網(wǎng)絡(luò)競(jìng)價(jià)交易系統(tǒng)的操作界面為中文操作界面，組織方、轉(zhuǎn)讓方不提供任何外文翻譯服務(wù)。競(jìng)買人應(yīng)自行承擔(dān)因?qū)?ldquo;金馬甲”網(wǎng)絡(luò)競(jìng)價(jià)交易系統(tǒng)中文操作界面理解偏差而造成的任何后果，包括但不限于不能正確操作“金馬甲”網(wǎng)絡(luò)競(jìng)價(jià)交易系統(tǒng)而造成的無法參與競(jìng)價(jià)或競(jìng)價(jià)行為、報(bào)價(jià)過高、競(jìng)價(jià)結(jié)果無效等的任何風(fēng)險(xiǎn)，組織方、轉(zhuǎn)讓方對(duì)上述風(fēng)險(xiǎn)不承擔(dān)任何責(zé)任。
      The language of operation interface of “Jinmajia” online bidding system is Chinese. If the bidder can’t understand and operate the online bidding system in Chinese, the bidder shall translate this online bidding system into other language which they can understand and operate by itself. If there is any difference or misunderstanding between the translated versions and the Chinese version of the online bidding system, the Chinese version shall prevail. If the translated versions of this online bidding system result in including, but not limited to, miss-operation to the online bidding system or invalid bidding, the bidder shall be responsible for all risks arising therefrom. The organizer and transferor are free of any economic and legal liabilities to translated versions of this online bidding system.

      在本項(xiàng)目中，競(jìng)買人在“金馬甲”公司網(wǎng)站（www.jinmajia.com）的網(wǎng)絡(luò)競(jìng)價(jià)交易系統(tǒng)的“報(bào)價(jià)金額”欄目填寫報(bào)價(jià)金額數(shù)字為以美元（USD）為貨幣單位表示的金額數(shù)字；在本項(xiàng)目中“金馬甲”公司網(wǎng)站（www.jinmajia.com）的網(wǎng)絡(luò)競(jìng)價(jià)交易系統(tǒng)公布競(jìng)價(jià)結(jié)果時(shí)顯示的最終成交價(jià)格均以美元為貨幣單位。

      The bidding price which shall be inputted in “Jinmajia” online bidding system for the project by bidder shall be presented in United States dollars. The final price which will be shown by “Jinmajia” online bidding system will be presented in United States dollars.

      八、公告期限：2019年9月23日至2019年10月12日。
    Announcement period: September 23th, 2019 to October 12th, 2019.

      九、具體報(bào)名截止時(shí)間、報(bào)名地點(diǎn)以相關(guān)競(jìng)價(jià)文件為準(zhǔn)。
      Specific deadline and place of registration shall be based on the relevant Bidding Document.

      十、本公告的非中文翻譯文本與中文文本若有差異，則以中文文本為準(zhǔn)。
      If there are differences between the announcement of the other versions and the one of Chinese version, the Chinese version shall prevail.
